These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and GovBid Finder, LLC ("GovBid Finder," "we," "us"). By creating an account, accessing, or using the GovBid Finder website, mobile application, or any related services (collectively, the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes that entity.
GovBid Finder is a discovery, qualification, and pipeline-management platform for government contracting opportunities. The Service helps you find, evaluate, score, and track public-sector bid opportunities across federal, state, local, cooperative purchasing, and education / special district sources.
GovBid Finder does NOT submit bids on your behalf. The Service is for discovery, qualification, tracking, and bid-package preparation only. Every solicitation requires human review. Pricing, bonding, insurance, legal review, signed certifications, document upload, and final submission to the contracting agency are your responsibility. You alone are accountable for accuracy, completeness, and timeliness of any bid you submit through any agency portal.
Account creation is free. Ongoing access to the Service is free for qualified contractors. To use the Service you must (a) be at least 18 years of age, (b) have the legal authority to enter into these Terms, and (c) operate a legitimate contractor business (or be an authorized employee or agent of such a business) that is eligible to pursue the government-contract opportunities surfaced through the Service.
Qualification verification. GovBid Finder, LLC may, in its sole discretion, verify your contractor qualification before granting or continuing full platform access. Verification may include reviewing your legal business name, trade or category, state licensing information, insurance and bonding coverage, service area, past project experience, business email, and contact information. We may pause, limit, or terminate access to accounts that we cannot verify as legitimate contractor accounts.
You agree to provide accurate, current, and complete information during onboarding and to keep it accurate, current, and complete thereafter. Inaccurate profile information directly degrades match scoring and may cause you to miss or fail to win opportunities. You are responsible for all activity that occurs under your account, and you must keep your login credentials confidential.
The Service is provided at no monthly subscription charge to qualified contractors. There are no per-seat, per-search, or per-opportunity fees. GovBid Finder is entirely revenue-supported by the Success Fee described in Section 5 below.
We reserve the right to introduce paid subscription tiers in the future; if and when we do, we will give existing accounts at least 30 days' notice via the email address on file, and your continued use of the Service after the effective date of those changes constitutes acceptance. Regardless of whether you are on a free or a future paid tier, the Success Fee set out in Section 5 applies to any contract you win that is attributable to the Service.
This section describes how GovBid Finder, LLC earns revenue from the Service. Platform access is free for qualified contractors; in exchange, you agree to pay a 3% success fee on every Qualifying Win (as defined below), calculated from the total awarded contract value.
The Success Fee for each Qualifying Win is invoiced via GovBid Finder, LLC's billing partner (Stripe) upon confirmation of the Award and becomes payable according to the following tiered terms based on the total Award Value:
For Awards that are IDIQ or ceiling-based, the Success Fee is calculated against the contract ceiling at the Trigger Date and is owed in full on that date -- not pro-rated as task orders are subsequently issued. The $250,000 threshold above is applied to the ceiling for IDIQ/BOA Awards, and to the task-order amount for individual task orders under an existing vehicle.
If an Award is later canceled, reduced, or terminated for convenience before performance begins and before you have received any payment from the agency, you may request a pro-rata refund of the Success Fee in writing within sixty (60) days of cancellation. We will refund the unearned portion within thirty (30) days of receiving documentation of cancellation.
You agree to report every Qualifying Win to GovBid Finder, LLC within fourteen (14) days of the Trigger Date by (a) marking the corresponding opportunity as "Won" in your pipeline and entering the award details requested, or (b) emailing andrew@blackmarketgrp.com with the solicitation number and award documents.
We may independently verify Qualifying Wins against public award data (SAM.gov, USAspending, agency notice boards, FPDS-NG, state procurement portals, cooperative contract directories, and similar sources). You authorize us to perform this verification.
Failure to report a Qualifying Win does not relieve you of the obligation to pay the Success Fee. If we identify an unreported Qualifying Win through verification, we will invoice you for the Success Fee plus a reasonable late-reporting administrative charge.
The Success Fee obligation survives cancellation or termination of your subscription or account. If a Source Opportunity was in your pipeline at any point during the Attribution Window, you owe the Success Fee on any subsequent Qualifying Win arising from that Source Opportunity, even if you cancel your subscription before the Trigger Date.
This survival clause exists because contract-award timelines in government procurement often run six to eighteen months after solicitation discovery; it would defeat the revenue model if users could simply cancel before contract signature.
If you believe an Award should not be classified as a Qualifying Win -- for example, because the opportunity was already in your pipeline before you signed up for the Service, or because you found the opportunity through a different platform -- you must notify us in writing at andrew@blackmarketgrp.com within thirty (30) days of receiving the Success Fee invoice, including any supporting documentation. We will review and respond within fifteen (15) business days. Disputes not resolved through this process are subject to Section 13 (Dispute Resolution).
Success Fee invoices that become past due bear interest at one percent (1.0%) per month or the highest rate permitted by law, whichever is lower, until paid.
Failure to pay Success Fee invoices when due may result in immediate suspension, restriction, or termination of your access to the Service, including but not limited to the loss of access to opportunity matching, bid drafting, AI-assisted bid tools, pipeline stage progression, submission tracking, award records, and stored documents. Access to reactivate an account is at GovBid Finder, LLC's discretion following payment in full and any applicable reinstatement fees.
GovBid Finder, LLC reserves the right to pursue any and all legal remedies to collect unpaid Success Fees, including but not limited to (a) filing suit for breach of contract, (b) recovery of unpaid Success Fees, (c) recovery of statutory and contractual interest, (d) recovery of reasonable attorneys' fees and collection costs, (e) recovery of court costs and expenses, (f) recovery of consequential damages arising from your non-payment, and (g) any other remedies available under applicable law -- all to the fullest extent permitted by law.
You expressly agree that non-payment of Success Fee invoices is a material breach of these Terms and that GovBid Finder, LLC may enforce these Terms against you personally or against your business entity, jointly and severally, to the extent permitted by applicable law.
You retain ownership of all profile data, company information, past-performance information, bid drafts, pricing assumptions, internal notes, references, and other content you submit to the Service ("User Content").
You grant GovBid Finder, LLC a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your User Content solely to (a) operate and improve the Service, (b) generate match scores and bid drafts on your behalf, (c) verify Qualifying Wins, and (d) perform our other obligations under these Terms.
We do not sell or rent User Content to third parties. We may use de-identified, aggregated insights derived from User Content (for example, average win rates by trade or geography) to improve match scoring or to share anonymized industry statistics, but only in a form that cannot reasonably be linked back to you.
The Service ingests, normalizes, and re-displays opportunity records from public government procurement databases. We make a good-faith effort to maintain currency and accuracy, but public-sector procurement data is fragmented, scraped from many sources, and frequently changes after we ingest it. We make no representation or warranty that any opportunity record is complete, current, or accurate as of the moment you act on it.
You agree to independently verify every opportunity against the agency's official solicitation document before submitting a bid.

The Service, including all software, data models, match-score algorithms, classification rules, fit-score logic, source registry, adapter framework, and user interface, is owned by GovBid Finder, LLC or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes consistent with these Terms.
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, GovBid Finder, LLC disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that match scores or fit scores will accurately predict win probability. We do not warrant that any opportunity surfaced through the Service will result in an Award.
To the maximum extent permitted by law, in no event will GovBid Finder, LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost contracts, lost bids, or lost business opportunities, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total amount you paid us in subscription fees during the twelve (12) months preceding the claim, or (b) one thousand U.S. dollars ($1,000).
You will defend, indemnify, and hold harmless GovBid Finder, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any bid, proposal, contract, or Award you submit, sign, or perform; (c) your User Content; (d) your violation of these Terms or any law; or (e) any misrepresentation of your company in a solicitation or bid package.
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service that the parties cannot resolve through good-faith negotiation within thirty (30) days will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Salt Lake City, Utah, and the arbitrator's award may be entered in any court of competent jurisdiction.
Each party waives the right to a jury trial and the right to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
You may cancel your account at any time by emailing andrew@blackmarketgrp.com. We may suspend or terminate your account at any time if you breach these Terms or for any other reason in our reasonable discretion, with or without notice.
On termination, your right to access the Service ends. Sections 5 (Success Fee), 6 (Your Data and Content), 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), this Section 14, and Section 16 (Miscellaneous) survive termination.
We may update these Terms from time to time. If we make a material change, we will give you at least thirty (30) days' notice via the email address on your account before the change becomes effective. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Service before the effective date.
Changes to Section 5 (Success Fee) -- including changes to the fee percentage, Attribution Window, or Trigger Date -- apply only prospectively to Source Opportunities first surfaced or added to your pipeline after the effective date of the change. Opportunities already in your pipeline at the time of the change remain governed by the version of these Terms in effect when they were added.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and GovBid Finder, LLC regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign your rights under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
